Terms of Service

§ 1 Scope

These Terms of Service apply to the use of the SaaS application "CrewSuite", operated by Apex Arc Labs (hereinafter "provider"). By registering and using the application, the user agrees to these terms.

§ 2 Contract Formation

The contract is formed upon registration of a user account. By registering, the user confirms having read and accepted these Terms of Service and the Privacy Policy. The user must be at least 16 years old. For commercial use, the user confirms being authorized to represent the specified company.

§ 3 Services

CrewSuite is a web-based application for recording, calculating, and distributing tips (tronc) in the hospitality industry. Services include: - Recording daily tip amounts and working hours - Automatic calculation of individual tip shares - Management of locations, teams, and employees - Export of billing data (SEPA XML, PDF) - Payout management and documentation The exact scope of features depends on the selected plan (Solo, Business S/M/L, Enterprise).

§ 4 Usage Notice

CrewSuite is a technical tool for calculating and documenting tip distributions. The application does not constitute tax, legal, or labor law advice. The user is solely responsible for compliance with all tax and labor law regulations related to tip distribution. The provider recommends consulting a tax advisor regarding the tax treatment of tips. Amounts calculated by the application serve as a basis for calculation and must be reviewed by the user for plausibility before payout.

§ 5 Pricing and Payment

Current prices depend on the selected plan: - Solo: Free (1 user, 1 location) - Business S: EUR 9.99/month (up to 10 employees, 3 locations) - Business M: EUR 19.99/month (up to 30 employees, 5 locations) - Business L: EUR 29.99/month (up to 50 employees, 10 locations) - Enterprise: Individual pricing on request Payment is processed through the payment service provider Stripe. Stripe's terms of use apply. All prices include applicable VAT.

§ 6 Trial Period

Business plans include a free trial period of 30 days. During the trial, all features of the selected plan are available. After the trial expires, access is limited to the Solo plan unless a paid subscription is purchased. Existing data is retained.

§ 7 Termination

The user may cancel their subscription at any time, effective at the end of the current billing period. Cancellation is done through the Stripe customer portal in the application settings. After canceling a Business subscription, the company is downgraded to the Solo plan. The user may delete their account entirely at any time (Settings > Danger Zone). The provider reserves the right to suspend or delete user accounts that violate these terms.

§ 8 Availability

The provider endeavors to provide the application without interruption. There is no entitlement to a specific level of availability. The provider reserves the right to temporarily restrict the application for maintenance purposes. The provider is not liable for data loss caused by technical disruptions, force majeure, or maintenance. Users are advised to regularly perform data exports (Settings > Export data).

§ 9 Liability

The provider is fully liable for intent and gross negligence. In cases of slight negligence, the provider is only liable for breach of essential contractual obligations (cardinal obligations), limited to foreseeable, contract-typical damages. The provider assumes no liability for: - The accuracy of data entered by the user - Tax or labor law consequences of tip distribution - Downtime due to force majeure or scheduled maintenance The user is responsible for the correct entry of working hours, tip amounts, and bank details. The provider's liability — regardless of the legal basis — is limited in amount to the subscription fees paid by the user in the preceding 12 months. For free plans (Solo), liability is limited to EUR 100. The provider does not warrant error-free operation of the software. Although calculation algorithms are carefully developed and tested, software errors cannot be entirely excluded. The user is advised to review calculated amounts for plausibility before making payouts.

§ 10 Data Protection

The protection of your personal data is important to us. For details on data processing, please refer to our Privacy Policy at /legal/privacy.

§ 11 Changes to Terms

The provider reserves the right to modify these terms with reasonable notice. Changes will be communicated to the user via email or in-app notification. If the user does not object to the modified terms within 30 days of receiving notice, the modified terms are deemed accepted.

§ 12 Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction, where legally permissible, is the provider's registered office. Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall not be affected.
